These Terms of Service ("Terms") form a binding agreement between you ("you" or "User") and Henritze Ventures LLC, a Tennessee limited liability company ("Givo," "we," "us," or "our"), governing your access to and use of the Givo mobile application, related websites, and any associated services (collectively, the "App" or the "Service"). By creating an account, downloading the App, or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, do not access or use the Service.
1. Eligibility & Accounts
You must be at least 13 years old to create a Givo account. If you are between the ages of 13 and the age of majority in your jurisdiction, you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete information when creating your account and to keep that information up to date.
2. Use of the App
Givo provides an AI-powered golf caddie experience, including club recommendations, GPS-based distance measurements, wind and elevation adjustments, round tracking, shot statistics, and related course-management tools. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download and use the App on a personal device that you own or control, solely for your own personal, non-commercial use.
The App is intended to be used as a supplementary tool during recreational and competitive rounds of golf. You are solely responsible for confirming that your use of any electronic distance-measuring device, GPS feature, or similar function complies with the rules of golf, local rules, and any competition or club rules applicable to the round you are playing, including but not limited to the Rules of Golf as maintained by the USGA and The R&A. Givo is not responsible for penalties, disqualifications, or scoring disputes arising from your use of the App in a sanctioned or handicap-relevant round.
3. Subscription Tiers
Givo offers tiered subscription plans that unlock different levels of functionality. Features, pricing, and availability of each tier are described in the App and may be updated from time to time as described in Section 6 below.
- Givo Pro — includes unlimited AI-generated club recommendations, GPS yardages, round tracking, shot statistics, and access to course elevation and wind-adjusted distances.
- Givo Elite — includes everything in Givo Pro, plus advanced AI shot-pattern analytics, AI voice caddie narration, expanded course-mapping data, and priority customer support.
We may also offer a limited free tier, promotional early access period, or trial with reduced functionality. Any such offer is subject to these Terms unless a separate written agreement expressly states otherwise.
4. Payment & Billing
Paid subscriptions are billed in advance on a recurring basis (monthly or annually, as selected by you at checkout) through the payment method associated with your account, which may include Apple's App Store, Google Play, or a third-party payment processor. By subscribing, you authorize us (or the applicable platform) to charge your chosen payment method automatically at the start of each billing cycle until you cancel.
Subscriptions renew automatically unless cancelled before the end of the then-current billing period. We reserve the right to change subscription pricing at any time; if we do, we will provide you with advance notice, and any price change will take effect at the start of your next billing cycle following the notice period. Continued use of a paid tier after a price change takes effect constitutes acceptance of the new price. All fees are exclusive of applicable taxes unless stated otherwise, and you are responsible for any taxes associated with your subscription.
5. Cancellation & Refunds
You may cancel your subscription at any time through your account settings in the App or through the app store or platform through which you subscribed (e.g., your Apple ID or Google Play account settings). Cancellation will take effect at the end of your current billing period, and you will continue to have access to your paid tier's features until that date. We do not provide prorated refunds for partial billing periods, except where required by applicable law or where the applicable app store's refund policy provides otherwise. Refund requests relating to purchases made through the Apple App Store or Google Play must be submitted directly to Apple or Google in accordance with their respective refund policies.
6. AI-Generated Content Disclaimer
The App uses artificial intelligence, including large language models and related technologies, to generate club recommendations, shot analysis, voice narration, and other content (collectively, "AI Output"). AI Output is generated using statistical models based on data you provide, course and environmental data, and other inputs, and is provided for informational and entertainment purposes only.
AI Output may be incomplete, inaccurate, or unsuitable for your specific situation, and it does not constitute professional coaching, medical, or safety advice. You acknowledge and agree that:
- you remain solely responsible for every club selection, shot decision, and action taken during play;
- Givo does not guarantee any particular score, outcome, or performance improvement;
- weather, wind, elevation, and course data used to generate recommendations may be estimated, delayed, or sourced from third parties and may not be perfectly accurate; and
- you should exercise your own independent judgment, and where appropriate consult a qualified golf professional, before relying on any AI Output.
7. User Data & Content
"User Data" means the information you provide to or generate within the App, including profile information, round history, shot data, GPS/location data recorded during play, and any other content you submit. You retain ownership of your User Data. By using the Service, you grant Givo a worldwide, non-exclusive, royalty-free license to host, store, process, and use your User Data as necessary to operate and improve the Service, including to train and improve the underlying AI models on an aggregated and/or de-identified basis, and as further described in our Privacy Policy. You represent that you have the right to submit any User Data you provide and that it does not infringe the rights of any third party.
8. Prohibited Uses
You agree not to, and not to permit any third party to:
- reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the App;
- scrape, data-mine, or use any automated system to access the Service in a manner that sends more requests than a human could reasonably produce;
- resell, sublicense, rent, lease, or otherwise commercially exploit the Service without our prior written consent;
- circumvent, disable, or otherwise interfere with subscription paywalls, security features, or usage limits;
- use the Service to violate any applicable law or regulation, or the rules of any golf course, club, or sanctioning body;
- upload or transmit viruses, malware, or other harmful code, or attempt to gain unauthorized access to our systems or another user's account;
- impersonate any person or entity or misrepresent your affiliation with any person or entity; or
- use AI Output to generate content that is unlawful, defamatory, harassing, or infringing upon the rights of others.
We reserve the right to suspend or terminate the accounts of users who violate this Section 8, in our sole discretion and without prior notice where warranted.
9. Intellectual Property
The App, including its software, design, text, graphics, logos, and the Givo name and marks, is owned by Givo and its licensors and is protected by intellectual property laws. Except for the limited license granted in Section 2, nothing in these Terms grants you any right, title, or interest in the Service or our intellectual property. Any feedback or suggestions you provide about the Service may be used by us without restriction or compensation to you.
10. Third-Party Services
The Service relies on and integrates with certain third-party service providers to deliver core functionality, including data hosting, AI processing, voice synthesis, and golf course mapping data. These integrations are described in more detail in our Privacy Policy. Your use of features that rely on third-party services is also subject to the applicable third party's own terms, to the extent disclosed to you.
11. Termination
You may stop using the Service and delete your account at any time through the App's account settings. We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or unlawful activity, or created risk or legal exposure for Givo. Upon termination, your right to use the Service will immediately cease; Sections 6 through 15 of these Terms will survive termination.
12. Disclaimer of Warranties
THE SERVICE, INCLUDING ALL AI OUTPUT, IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY AI OUTPUT WILL BE ACCURATE OR RELIABLE.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL GIVO, ITS OFFICERS, MEMBERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL GIVO'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO GIVO IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY DOLLARS ($50). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
14. Indemnification
You agree to indemnify, defend, and hold harmless Givo and its officers, members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of a third party.
15. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Tennessee, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Tennessee, and you consent to the personal jurisdiction of those courts.
16. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide notice through the App or by other reasonable means prior to the changes taking effect. Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the revised Terms.
17. Miscellaneous
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Givo regarding the Service.
